3. Subscription Plans and Pricing

3.1 Billing and Payment
- Payment Method: Subscriptions are billed through Microsoft AppSource
- Billing Cycle: Monthly (charges on the same day each month)
- Currency: EUR (Euro) primary; other currencies converted to EUR
- Taxes: Prices exclude applicable taxes (VAT, sales tax)
- Auto-renewal: Subscriptions renew automatically unless cancelled
3.2 Free Trial
- FREE plan: 20 messages/month (no credit card required)
- No automatic upgrade to paid plan
- After limit reached: upgrade to PRO or wait for next month reset
3.3 Usage Limits
- FREE plan: 20 messages per calendar month (resets on 1st day of month)
- PRO/ENTERPRISE/SCHOOLS: Unlimited messages
- Fair Use Policy: Excessive automated usage (bots, scripts) may result in throttling or suspension
4. Account Registration and Security
4.1 Azure AD Authentication
Cellify uses Microsoft Azure Active Directory (Azure AD) Single Sign-On (SSO) for authentication. By using Cellify, you authorize us to access your Azure AD profile (user ID, email, display name).
4.2 Account Security
You are responsible for:
- Maintaining confidentiality of your Azure AD credentials
- All activities under your account
- Notifying us immediately of unauthorized access
4.3 Account Eligibility
- You must be at least 16 years old to use Cellify
- You must have a valid work or school Azure AD account
- Personal Microsoft accounts (outlook.com, hotmail.com) are NOT supported
5. Acceptable Use Policy
5.1 Permitted Uses
You may use Cellify for:
- Personal productivity and data analysis
- Business operations and reporting
- Educational and research purposes
- Any lawful purpose consistent with these Terms
5.2 Prohibited Uses
You may NOT:
- Use Cellify for illegal activities or to violate any laws
- Attempt to reverse engineer, decompile, or disassemble the Service
- Use automated tools (bots, scrapers) to access the Service excessively
- Share your account credentials with others
- Interfere with or disrupt the Service or servers
- Transmit viruses, malware, or harmful code
- Harass, threaten, or impersonate others
- Violate intellectual property rights
- Use the Service to spam or send unsolicited messages
- Attempt to gain unauthorized access to systems or data
Violation of Acceptable Use Policy may result in immediate suspension or termination of your account without refund.
6. Intellectual Property Rights
6.1 Cellify Ownership
Cellify and all related trademarks, logos, service marks, and intellectual property are owned by [COMPANY_NAME] or its licensors. You do NOT acquire any ownership rights by using the Service.

7. Data Privacy and Security

8. Service Availability and Support
8.1 Service Level
We strive to provide high availability but do NOT guarantee:
- Uninterrupted or error-free service
- Specific uptime percentage (no SLA for FREE/PRO plans)
- 24/7 support availability
8.2 Maintenance
We may perform scheduled maintenance with:
- 48 hours advance notice for planned downtime
- No notice for emergency maintenance
8.3 Support
- FREE plan: Email support (48-hour response time)
- PRO plan: Email support (24-hour response time)
- ENTERPRISE/SCHOOLS: Priority support (12-hour response time)
Support hours: Monday-Friday, 9:00-17:00 CET (excluding Polish public holidays)
9. Cancellation and Refunds
9.1 Cancellation
You may cancel your subscription at any time through:
- Microsoft AppSource account management

Effect of Cancellation:
- Access continues until end of current billing period
- No automatic renewal after cancellation
- Downgrade to FREE plan (20 messages/month)
9.2 Refund Policy
- Within 14 days of purchase: Full refund available (EU consumer protection)
- After 14 days: No refunds for unused portions of billing period
- FREE plan: No refunds (free service)

- Your payment fails or account is delinquent
- We are required by law to terminate
- We discontinue the Service (30 days notice)
10.3 Effect of Termination
Upon termination:
- Your access to Cellify will cease immediately
- All licenses granted to you will terminate
- Outstanding fees remain due and payable
- We may delete your data after 90-day retention period
11. Disclaimers and Limitations of Liability
11.1 Service "AS IS"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose
- Accuracy, reliability, or completeness of AI-generated actions
- Non-infringement of third-party rights
- Uninterrupted or error-free operation
11.2 AI Accuracy Disclaimer
Cellify uses AI (Google Gemini) to interpret natural language requests. AI may occasionally produce incorrect or unexpected results. YOU ARE RESPONSIBLE FOR REVIEWING ALL ACTIONS BEFORE EXECUTING THEM IN EXCEL.
11.3 Data Loss Disclaimer
WE ARE NOT RESPONSIBLE FOR DATA LOSS OR CORRUPTION IN YOUR EXCEL FILES. ALWAYS MAINTAIN BACKUPS OF IMPORTANT DATA.
11.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, [COMPANY_NAME] SHALL NOT BE LIABLE FOR:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Business interruption or loss of use
